Stamp Duty Land Tax (SDLT) applies to commercial, non-residential, and mixed-use property or land transactions in England when the value reaches £150,000 or more.
Unlike residential property, commercial stamp duty rates do not include surcharges for limited companies or overseas buyers. The tax is calculated progressively using a "sliced" marginal banding system, meaning you only pay the specific rate on the portion of the purchase price that falls within each band.

Freehold Purchases & Lease Premiums
If you are purchasing the freehold of a commercial property, or paying a premium to acquire a leasehold, the following rates apply:

Portion of Purchase Price / Premium
£0 to £150,000 - SDLT Rate: 0%
£150,001 to £250,000 - SDLT Rate: 2%
£250,001 and above- SDLT Rate: 5%

Note: If the transaction is subject to VAT, SDLT is calculated on the VAT-inclusive price.

Example Calculation:
For a £500,000 commercial freehold (excluding VAT), SDLT is applied in slices: 0% on the first £150,000 (£0), 2% on the next £100,000 (£2,000), and 5% on the remaining £250,000 (£12,500), totalling £14,500.

New Commercial Leases (Net Present Value)
New commercial leases may incur SDLT on the Net Present Value (NPV) of the total rent over the lease term, assessed independently from any initial lease premium:

Portion of NPV Rent Value
£0 to £150,000 - SDLT Rate: 0%
£150,001 to £5,000,000 - SDLT Rate: 1%
£5,000,000 and above - SDLT Rate: 2%

Important Rules & Special Exemptions

• Mixed-Use Properties: Transactions combining residential and commercial elements (e.g., a flat above a shop) are taxed under these commercial rates.
• Multiple Dwellings: Purchasing six or more residential dwellings in one go allows you to treat the deal as a commercial purchase to avoid higher residential brackets.
• Filing Deadlines: An SDLT return must be filed and the tax paid to HMRC within 14 days of completion, a process typically managed by your conveyancer.
• Reliefs: Special exemptions exist for properties in designated Freeports or Investment Zones, alongside specific relief for charities and group company transfers.
